NDA Review in the UAE: Key Clauses to Check
A non-disclosure agreement (NDA) governs how confidential information may be shared and used. It is often signed quickly at the start of discussions, but a poorly drafted NDA can either fail to protect sensitive information or restrict you more than you realise.
UAE law gives protection to confidential information through contract and other rules, but the NDA is usually the main practical tool, so its wording matters.
One-way or mutual
Check whether only one party discloses information or both do. A one-way NDA can be unbalanced if you will also receive and handle the other side's information.
Definition of confidential information
The definition should be specific enough to be meaningful but broad enough to cover the real material. Watch for wording that treats everything as confidential, including information already public, and for requirements that information be marked as confidential before it is protected.
Exceptions and permitted use
- Information that is already public or independently developed
- Disclosure to advisers, employees and financiers who need to know
- Disclosure required by law or authority
- The purpose for which the information may be used
Duration and return of information
Look at how long the obligation lasts, whether it ends after a set number of years and whether trade secrets continue to be protected after that. Also check provisions on returning or destroying documents.
Remedies, law and forum
Agreed damages clauses and injunction rights should be considered, as should the governing law and where disputes will be decided. A UAE court may adjust agreed compensation it considers excessive. Choosing a forum that can act quickly is a practical consideration.
