Service Agreement Review in the UAE
A service agreement sets out what a provider will do for a client, how it will be paid and what happens if the work is late, defective or ends early. Disputes usually come from vague scope rather than from dramatic breaches.
This guide applies to many arrangements, such as IT services, marketing, maintenance, outsourcing and professional services.
Scope and deliverables
The agreement should describe the services and the outputs in measurable terms. Terms like "reasonable efforts" and "as needed" leave room for disagreement, so define quantities, timelines and quality standards where possible.
Acceptance and change control
Check how the client approves work and what happens if it is rejected. Include a process for changes in scope, with agreed pricing, so extra work does not become a dispute.
Payment
- Fees, expenses and VAT treatment
- Milestones, deposits and invoicing dates
- Late payment consequences and suspension rights
- Whether cheques or guarantees are provided
Liability and warranties
Providers often try to cap liability, and clients to widen it. Review caps, exclusions of indirect loss, and warranties of quality and compliance. Courts may adjust agreed compensation in some cases, but it is better to set clear and reasonable terms.
Intellectual property and confidentiality
Say who owns work product, whether the client receives a licence or full ownership, and whether the provider may reuse general know-how. Add confidentiality terms or reference a separate NDA, as discussed in NDA review.
Term and termination
Clarify the notice period, termination for breach and what is payable when the agreement ends, including work already performed.
How a consultation can help
A review can test whether the draft protects your interests whether you are the provider or the client and highlight changes to request. It does not replace formal representation if a dispute escalates.
Frequently asked questions
Do I need a written service agreement for small projects?
It is still advisable. Even a short written scope and price reduces the risk of disagreement.
Who owns the work product by default?
This depends on the contract and applicable law, which is why the agreement should state it clearly.
Can I terminate early?
Only on the grounds and notice terms in the contract and the law. Review these before committing to a long term.
