Topic Hub

Intellectual property agreements allocate rights in creations such as software, designs, brands and content. Poor drafting is a common source of later disputes, especially where a business relies on work created by others.

This guide covers the main points for development, design, content and technology agreements.

Ownership and assignment

Decide whether the client owns the work outright (assignment) or only has a licence to use it. An assignment should identify the rights transferred and be in writing. Where payment is staged, consider when ownership passes.

Licences

  • Exclusive or non-exclusive
  • Territory and duration
  • Permitted uses and sub-licensing
  • Fees or royalties

Pre-existing and third-party material

Developers often reuse existing code or content. The agreement should distinguish what pre-exists, who owns it and what licence the client receives. Third-party and open-source components should be identified.

Warranties and indemnities

Check promises that the work is original and does not infringe others' rights, and who bears the risk if a claim arises. Limits of liability matter.

Moral rights and credits

Authors may have rights relating to attribution and integrity. Address these in the agreement carefully.

Confidentiality and data

Include confidentiality obligations and, where personal data is involved, data protection terms. See data protection compliance.

Termination and handover

State what happens to work in progress, source materials and licences on termination.

How a consultation can help

A review can identify unclear ownership and risk allocation and suggest wording changes. It does not guarantee how a court will interpret the agreement.

Frequently asked questions

Does paying for a design give me the copyright?

Not automatically. The agreement should state whether rights are assigned or licensed.

Can an assignment be partial?

Yes, parties can limit what is assigned by scope, territory or duration.

Should IP terms be in the main contract or separate?

Either works if the terms are clear and consistent.
